The upgrade seems to go fine and there are no confilcts when i run the upgrade check before hand.
When it goes to load up into XP pro for the first time I get this screen:

and then it keeps rebooting. Thats all it does.
What is the problem???
Thanks

Well for starters, boot the machine up into safe mode and find out what lsass.exe is.
How much disk space do you have free? It appears as though there's not enough room on your hardisk to swap virtual memory (as the error says). You might try increasing the page file size.

Alright.
By the way, Googled real quick to see how exactly to increase the page file size and this article seemed clear on how to do it:

Ahh, well see it has to deal with security and you're running Windows so you don't need it anyways.

Did you get it into safe mode?

Never got it into safe mode.... but i did get it fixed....
talked to a senior tech at sony.....
Recovery CDs are not included with new computers anymore. There is a hidden partition that has this information. This is what was messing up the upgrade.
Solution:
1.) Blow out hidden partition
2.) Format Drive
3.) Do a recovery of C: ONLY (if you have the disks - which I ordered)
4.) Then upgrade
